BY LAWS AND CONSTITUTION SEQUIM PC USERS GROUP Adopted September 12, 1996 and amended 1/2003,
6/12/04 Article
I.
By-law Amendments Section 1. These
By-laws may be amended by a majority vote of those attending the meeting at
which the changes are proposed with a quorum being present. Section 2. No
change or amendment to these By-laws shall be considered if the change or
amendment conflicts with the Constitution of the Sequim PC Users Group or with
the laws of the State of Washington. Article
II.
Fiscal Year Section 1. The
fiscal year shall be the calendar year, January 1st through December 31st. Article
III.
Dues Section 1. Dues
shall be for the fiscal year. Section 2. Dues
shall be $20.00 per year. Dues will
be reduced to $10.00 for new members after the June meeting for the remainder of
the fiscal year. Section 3. Dues
are due at the first meeting of the fiscal year.
Members shall be dropped if the annual dues are not paid by the third
meeting of the fiscal year. Section 4. The
Treasurer shall maintain a list of the current(dues paid) members. Article
IV.
Expenses Section 1. The
officers are empowered to spend up to $15.00 per purchase on incidentals (such
as copying, postage, etc.) necessary to the operation of the Group.
The treasurer shall be informed of all such expenses and shall reimburse
the officer responsible for the purchase, based on an appropriate receipt. Section 2. Purchases
of items up to $100.00 in value shall be authorized by the Executive Board. Section 3. Purchases
over $100.00 shall be authorized by a majority vote of the members attending the
meeting at which the expenditure is proposed. Article
V.
Meetings Section 1. Regular
meetings shall be held on the second Saturday of the month at 10:00am in the
Sequim High School Computer Lab, or other facilities appropriate for
special occasions. Section 2. Meetings
shall be held every month except July and August. Section 3. Special
meetings may be called by the Executive Board for good cause (special program
available, etc.). Section 4. A
quorum for conducting business at a regular or a special meeting shall consist
of at least one officer and a minum of twenty(20) percent of the membership. Section
5. Executive Board meetings may be
called by the President as needed. Such
meetings may be an informal consultation on matters concerning the Group. 8/2/96
CONSTITUTION
of the SEQUIM PC USERS GROUP Adopted

I.
Name and Type of Organization The name of this organization shall be the Sequim
PC Users Group, This
organization is organized exclusively for charitable purposes within the meaning
of section 501(c)(3) of the
Internal Revenue Code. Notwithstanding any other provision of this
Constitution, the organization shall not carry on any other activities not
permitted to be carried on by an organization exempt from Federal income tax as
an organization described in section 501(c)(3) of the Internal Revenue Code (or
corresponding section of any future federal tax code). Article
II. Purpose The purpose of the Sequim PC Users Group shall be to
promote the understanding and use of personal computers, to disseminate
information about new developments in the fields of computers and their uses, to
enhance interchange of knowledge and skills among users, and to assist the
Sequim School District faculty and
student body in gaining computer knowledge and skills. Article
III.
Affiliation This Group shall be affiliated with the Sequim School
District. Article
IV.
Membership Section 1. Membership
in this Group shall be open to all who are interested in the purpose of the
Group. Section 2. Each
application for membership shall be accompanied by dues as set forth in the
By-laws. Article
V.
Officers Section 1. The
officers of the Group shall be a President, a Vice-president, a Treasurer,
and a Secretary. Section 2. Officers
shall be elected at the last meeting of the fiscal year and shall assume their
duties at the end of the meeting. Section 3. The
term of office shall be one year. Section 4. The
president shall serve no more than two consecutive terms as president.
Other officers will have no limitations on the number of terms. Section 5. Vacancies
shall be filled by appointment by the President with the consent of the
membership. Article
VI.
Duties of Officers Section 1. The President shall coordinate the
activities of the group, be responsible for organizing and conducting the
meetings of the group and of the Executive Board.
With the consent of the Executive Board, the President shall appoint such
committees as necessary for the functioning of the Group.
The President shall be the official delegated to interact with the Sequim
School District faculty and administration. Section 2. In
the absence of the President, the Vice-president shall assume the duties of the
President. In addition, the
Vice-president shall perform such duties as may be delegated by the President.
The Vice-president shall be the alternate delegate to the Sequim
School District. Section 3. The
Treasurer shall collect all dues from the membership, shall disburse funds by
check as authorized, shall keep account of all money received and of all
disbursements, and shall provide a financial status report for each general
meeting of the Group. Section 4.
The Secretary shall make a brief record of the general meetings of the
Group and handle correspondence as directed by the President.
The Secretary shall keep copies of the meeting records, correspondence,
and the financial reports. Article
VII.
Executive Board Section 1. The
Executive Board shall consist of the officers of the Group and the past
president. Section 2. The
Executive Board shall have general supervision of the affairs of the Group,
shall fix the hour and place of meetings, and shall perform such other duties as
specified in the Constitution and By-laws.
the Executive Board shall be subject to the orders of the Group and none
of its acts shall conflict with action taken by the Group. Article
VIII.
Amendments This Constitution may be amended at any regular
meeting of the Group by a two-thirds majority vote of those present, if the
proposed amendments have been provided in writing to the members at least ten
days prior to the meeting. Article
IX.
Parliamentary Authority Robert’s Rules of Order, latest edition, shall be
the authority and shall govern this Group in its business procedures. Article
X.
Dissolution Dissolution of the Sequim PC Users Group may be
accomplished by a majority vote of the members at a general meeting, after due
notification to the members thirty (30) days prior to the meeting. Upon the dissolution and winding
up of this organization, after paying or adequately providing for the
debts and obligations of the organization, the remaining assets shall be
distributed to a nonprofit fund, foundation or corporation organized and
operated exclusively for the purposes specified in section 501(c)(3) of the
Internal Revenue Code and which has established its tax-exempt status under that
